Ask its chair, Ana Bot\u00edn, about the group&#8217;s biggest current move, and the answer is striking for a different reason. Defending the acquisition of Webster this week on CNBC, she put it plainly: &#8220;We are a US bank, and we are merging two US entities.&#8221;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Spain&#8217;s biggest bank \u2014 the largest holding in BlackRock&#8217;s record Spanish portfolio, the anchor of the IBEX 35 \u2014 is, by its own chair&#8217;s description, increasingly an American one. The Santander Webster deal is the moment that shift stopped being gradual.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Santander is buying \u2014 and what it&#8217;s saying<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Webster is a Connecticut-based commercial bank, and Bot\u00edn is not understated about it: &#8220;Webster is an excellent bank, and it is not easy to acquire excellent banks.&#8221; The transaction will be executed as an internal US merger \u2014 Webster folding into Santander USA \u2014 with the Spanish group injecting $12 billion of capital into the United States in the process.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The regulatory scoreboard matters for precision: the Office of the Comptroller of the Currency approved the deal a month ago, but the Federal Reserve and the European Central Bank have yet to give their green lights. Santander is buying Webster; it has not yet bought it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The strategic logic, as Bot\u00edn tells it, is a profitability ladder. Santander&#8217;s US business currently returns about 15% on tangible equity \u2014 below the group average. Webster&#8217;s commercial banking book, complementing Santander USA&#8217;s consumer business (and bringing a specialism in the healthcare sector), is the route she says takes American returns above 18% by 2028. Webster will keep its own brand for now.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The quieter American story: Openbank<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The acquisition is the headline, but the organic story may say more. Openbank \u2014 Santander&#8217;s digital bank, launched in the US at the end of 2024 \u2014 has gathered more than $11 billion in deposits from 235,000 American customers in roughly eighteen months, offering savings rates around 3.80% that Santander claims run at nine times the sector average.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That is a Spanish digital bank winning American depositors at speed, with no branches, on price and platform alone. Combined with the Webster deal, the pattern is unmistakable: Santander&#8217;s growth engine is being rebuilt on the other side of the Atlantic.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The context Bot\u00edn didn&#8217;t dwell on<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Two pieces of background frame the move. The first is political noise: the deal lands amid tensions between Washington and Madrid, and Bot\u00edn&#8217;s CNBC appearance was partly an exercise in insulating the transaction from it \u2014 hence the insistence that this is an internal American merger, capital flowing <em>into<\/em> the US, &#8220;a more competitive banking system&#8221; for Americans. &#8220;What exactly is there not to like?&#8221; she asked.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The second is the group&#8217;s own geography. Bot\u00edn was candid that Brazil \u2014 long one of Santander&#8217;s profit engines \u2014 &#8220;is not doing as well as we thought,&#8221; while pointing to the diversified model as the reason group targets remain intact. Read together with the US push, the map redraws itself: the Latin American engine cooling, the American one being deliberately built up, and 180 million customers worldwide giving the group scale that, in Bot\u00edn&#8217;s telling, artificial intelligence will finally let it exploit properly.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Legally Spanish, operationally transatlantic<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">None of this makes Santander less Spanish in the ways that count on paper: headquarters outside Madrid, the Bot\u00edn family&#8217;s fourth generation at the helm, the biggest weight in Spain&#8217;s index \u2014 and, as we covered this week, the single largest holding in BlackRock&#8217;s \u20ac104 billion Spanish portfolio. <a href=\"https:\/\/paulbrowntranslation.com\/pt-br\/2026\/hispano-luso-report\/blackrock-spain-2026\/\">The world&#8217;s largest investor just named Spain its preferred market \u2192<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But there is a pattern forming in this week&#8217;s news that regular readers will recognise. Ryanair: legally Irish, operationally increasingly Spanish. Santander: legally Spanish, operationally increasingly American. The corporate passport and the corporate centre of gravity are separating \u2014 and the companies most woven into British and American daily life are precisely the ones doing it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For the millions of Britons whose mortgage sits with Santander UK, the label on the branch won&#8217;t change.
